By accessing, browsing, or using the GoERP.live website, software, or any services provided by GoERP Technology ("Company", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms").
These Terms constitute a legally binding agreement between you ("User", "Client", or "you") and GoERP Technology, a software company registered and operating from Bhilwara, Rajasthan, India.
These Terms apply to all visitors, users, clients, and anyone who accesses or uses our services.
GoERP Technology provides the following services:
The specific scope of services for each client is governed by a separate Service Agreement or Statement of Work (SOW) signed between both parties. In the event of a conflict between these Terms and the Service Agreement, the Service Agreement shall prevail.
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable prior notice.

We reserve the right to suspend or terminate accounts that contain false information or are used in violation of these Terms.
Subscription fees are billed monthly or annually as agreed in your service plan. Payments are due in advance of the service period. Failure to pay on time may result in service suspension.
For custom development projects, payment terms (advance, milestone-based, or on-completion) are specified in the individual project agreement.
All prices are exclusive of GST (Goods and Services Tax) at 18% unless explicitly stated otherwise. GST will be charged in addition to the quoted price as applicable under Indian tax laws.
Payments not received within the due date may attract a late fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue payments exceeding 15 days.
All intellectual property rights in and to the GoERP software platform, website, documentation, and related materials — including but not limited to source code, design, trademarks, and logos — remain the exclusive property of GoERP Technology.
Upon full payment of all agreed fees, ownership of custom deliverables (such as custom-built applications or websites) as specified in the Service Agreement shall transfer to the Client. Unless explicitly agreed in writing, the underlying platform, frameworks, and third-party tools used in development remain the property of GoERP Technology.
For subscription-based software, we grant you a limited, non-exclusive, non-transferable license to use the software solely for your internal business purposes during the term of your subscription.
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the business relationship. "Confidential Information" includes business data, client information, technical details, pricing, and any information marked as confidential.
We will not disclose your business data or client information to third parties except as required to provide the services, comply with legal obligations, or with your explicit consent.
To the maximum extent permitted by applicable law, GoERP Technology shall not be liable for:
Our total cumulative liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to GoERP Technology in the 3 months preceding the claim.

Upon termination, your right to access the services ceases immediately. We will provide a data export within 7 business days of termination upon written request. Refer to our Refund & Cancellation Policy for details on refunds after termination.
These Terms and Conditions are governed by and construed in accordance with the laws of India, specifically the laws of the State of Rajasthan. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bhilwara, Rajasthan, India.
In the event of a dispute, both parties agree to attempt to resolve it amicably through negotiation before initiating legal proceedings.
We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 14 days before the changes take effect.
Your continued use of our services after the effective date of the revised Terms constitutes your acceptance of the changes.
